Governance:

  • Annual LPAC meeting (virtual or in-person)
  • Voting rights on fund amendments (if material)
  • Right to inspect records (upon reasonable notice)
  • Tax reporting and K-1 distribution (annual)

Liquidity Options (for €30M+ commitments):

  • Co-investment rights (new opportunities sourced)
  • Secondary sale rights (if platform develops secondary market)
  • Fund-to-fund transfers (if investor positions mature earlier)

C. Performance monitoring​

NAV Calculation:

  • Quarterly fair value mark of underlying companies
  • Use of multiple methodologies (comparable company, precedent transactions, discounted cash flow)
  • Independent valuation oversight (for larger holdings)

Reporting Frequency:

  • Quarterly: Net asset value, capital activity, portfolio mark summary
  • Semi-annual: Detailed portfolio update, manager update
  • Annual: Full audited financials, K-1 tax reporting, investor meeting
